Ukiyo Terms of Service

1. Who we are

These Terms are an agreement between you and Ukiyo Compute LLC, a Wyoming limited liability company ("Ukiyo", "we", "us"), 1501 South Greeley Highway, Suite C, #1700, Cheyenne, WY 82007, United States. Contact for all matters, including legal, privacy and support: contact@u-kiyo.ai.

2. The service

Ukiyo is a GPU computing platform. Customers and their AI agents can find, rent, use and terminate GPU compute instances through Ukiyo's interfaces: the Telegram bot (@UkiyoComputeBot), web checkout, the public API, the command-line client (CLI), the MCP server and the Agent Skill. Ukiyo rents compute; it is not a managed inference or data-storage service.

3. Who may use Ukiyo, and accepting these Terms

Individuals and businesses may use Ukiyo. You must be legally able to enter into a binding contract where you live, or have the consent of a parent or guardian where the law allows. Ukiyo is not directed at children under 13.

You accept these Terms when you create an account or complete a checkout that presents them. You do not need to accept them again for each rental. If you use Ukiyo for a business, you accept them for that business.

4. Accounts and credentials

You are responsible for:

  • keeping your API tokens, CLI credential files and instance access details confidential;
  • all activity under your account and credentials, including actions taken by software agents you authorize;
  • the limits you set on agent credentials (scopes, per-rental and lifetime spending limits, concurrent rentals). Ukiyo enforces those limits but does not decide what your agents should do.

Do not create additional accounts or credentials to get around a limit or a restriction on your account.

5. Prices and charges

Prices are shown live, in US dollars, per hour for the whole instance (not per GPU), and may change. The hourly price shown for an offer covers the GPU and its 50 GB disk. The price that applies to a rental is the one in its quote or rental confirmation. The minimum rental or top-up is $5.

6. Ways to pay

6.1 Card rentals (prepaid)

You choose an instance and a budget, and pay by card at checkout. The budget buys a fixed runtime, calculated from the hourly price and shown before you pay. Runtime does not renew. We send a warning about 10 minutes before the runtime ends; when it ends, the instance is terminated automatically.

6.2 Compute credits

You can buy Ukiyo compute credits ("top-ups") at checkout, within the purchase limits shown there. Credits:

  • are prepaid service credits, usable only for eligible Ukiyo services;
  • are non-transferable;
  • are not cash, an investment, or a withdrawable balance, and cannot be redeemed for cash, except where applicable law requires otherwise;
  • do not expire.

The checkout page for each top-up shows the credit terms that apply to it. Those terms stay fixed for that top-up.

6.3 Prepaid credit rentals

Unless your account uses account-balance billing (6.4), a credit rental works like a card rental paid from your balance: the budget is taken from your credits when the rental starts and buys a fixed runtime. Voluntary early termination does not return credits.

6.4 Account-balance (metered) rentals

Some accounts use account-balance billing. Your account can check this: GET /api/v1/me or ukiyo me --json reports billing.model: ACCOUNT_BALANCE. For these accounts:

  • each rental is charged for actual usage (GPU time, storage, upload and download) at Ukiyo's rates, against one credit balance shared by all your rentals. GPU time and storage are charged at the hourly price shown for the offer;
  • upload and download are charged separately by volume, so bandwidth-heavy work can cost more than the hourly price alone;
  • a rental has no purchased duration. It runs until you terminate it, until it reaches the offer's maximum duration, or until Ukiyo stops it automatically because your balance can no longer safely cover it, a spending limit is reached, or usage cannot be measured reliably;
  • balances shown during a rental are provisional. The final charge is settled shortly after termination (usually within minutes). Unused credits remain in your balance; they are not refunded to your card;
  • a rental that fails before it becomes usable is not charged.

Rentals made under prepaid terms keep their original terms.

7. Rentals, termination and your data on instances

An instance is usable only once it is reported ACTIVE. You can terminate it at any time; termination is irreversible. When an instance is terminated or reaches the end of its runtime, it is destroyed, including all data stored on it. A terminated instance cannot be paused and resumed later. Ukiyo does not back up instance data. Copy anything you need off the instance before it ends.

8. Failures and refunds

What Ukiyo does automatically:

  • Card rental that cannot be provisioned: the payment is refunded in full to the original card.
  • Card payment that completes after its quote has expired: the payment is refunded.
  • Credit rental that fails (for example, the selected GPU becomes unavailable, it cannot be set up, or it stops unexpectedly): the full amount taken for that rental is returned to your Ukiyo balance. An account-balance rental that fails before it becomes usable is not charged.
  • Voluntary termination: no refund or credit return for unused prepaid time.

Other refunds are not promised. Nothing in these Terms limits any refund or other right that applicable law gives you and that cannot be excluded by contract.

9. Payment disputes

If you dispute a top-up payment with your card issuer, the disputed credits are reversed and new credit-funded rentals on your account are paused while the dispute is open. Rentals already running are not terminated because of a dispute.

10. Acceptable use

You must use Ukiyo only for lawful, authorized workloads. You must not use it to:

  • break any law, or infringe anyone's rights;
  • create, store or distribute child sexual abuse material, or other content that is illegal where it is processed;
  • attack, scan or gain unauthorized access to systems, or distribute malware;
  • send spam or run phishing or fraud;
  • evade sanctions or export controls;
  • interfere with the service, its infrastructure or other customers;
  • evade a limit or restriction by creating additional accounts or credentials.

Cryptocurrency mining is permitted where it is lawful and allowed by the infrastructure your rental runs on.

11. Availability, suspension and closure

GPU availability, performance and network speed vary and can change. Ukiyo does not offer a contractual uptime or performance guarantee (no SLA). Section 8 describes what happens when a rental fails.

We may suspend or restrict an account, stop its rentals or revoke its credentials for fraud, abuse, security risks, unlawful activity, or violations of these Terms. You can ask us to close your account by writing to contact@u-kiyo.ai. Unused credits cannot be withdrawn as cash on closure, except where applicable law requires otherwise.

12. Liability

Ukiyo is provided "as is" and "as available". To the extent permitted by law, Ukiyo disclaims implied warranties, is not liable for indirect, incidental or consequential losses or lost data, and its total liability is limited to the amounts you paid Ukiyo in the 12 months before the claim. Nothing excludes or limits liability that cannot be excluded or limited by law.

13. Changes to these Terms

We may update these Terms. Changes apply from the date they are published. They do not change the credit terms shown for a top-up that was already created.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Disputes are resolved in the state or federal courts located in Wyoming, except where mandatory consumer law gives you the right to bring a claim where you live.
